The Competition Authority of Kenya (CAK) is an independent public institution established to promote and protect effective competition in markets. The Authority is seeking to recruit a Corporation Secretary and Manager Legal Services to provide legal advisory services and oversee the Board’s governance and compliance functions.

Reporting directly to the Director General, this role is critical in ensuring compliance with legal and regulatory frameworks, offering expert legal guidance, and enhancing corporate governance within the Authority.


Key Responsibilities

Governance and Board Advisory

  • Provide legal guidance to the Board on their duties and responsibilities.
  • Lead the preparation of Board Annual Work Plans, ensuring the timely update of Board and Committee charters.
  • Maintain the conflict of interest register and ensure timely circulation of Board and Committee papers.
  • Facilitate Board capacity building programs, including induction, evaluation, and governance audits in line with Mwongozo guidelines.

Legal and Regulatory Compliance

  • Spearhead the review of legislation affecting competition, buyer power, and consumer protection for submission to Parliament, the Attorney General, and relevant government agencies.
  • Draft and propose amendments to the Competition Act No. 12 of 2010 and review Rules and Guidelines under the Act.
  • Manage legal strategies for dispute resolution and oversee the litigation function, including representation at the Law Courts and Competition Tribunal.
  • Provide legal support in settlement negotiations, hearing conferences, and review of investigative notices.

Corporate Legal Services

  • Oversee the drafting and review of contracts, Memoranda of Understanding (MoUs), leases, and other legal documents.
  • Act as a liaison with external stakeholders, including Law Society of Kenya (LSK) and the Office of the Director of Public Prosecutions (ODPP).
  • Ensure compliance with Board secretarial services, including safekeeping of Board documents such as minutes, policies, and resolutions.

Strategic Leadership and Performance Management

  • Lead the Department’s Strategic Planning, aligning legal services with the Authority’s overall objectives.
  • Identify areas for efficiency improvements through leveraging technology in legal operations.
  • Oversee the development of the service charter, ensuring adherence to set service standards.
  • Monitor and manage Departmental performance, including risk management and business continuity planning.
  • Supervise, mentor, and coach departmental staff, ensuring high levels of performance and compliance.

Operational Responsibilities

  • Monitor the legal and regulatory environment, ensuring compliance with applicable laws.
  • Draft position papers on competition policy for Kenya’s input into Regional Economic Communities (RECs) and international forums.
  • Oversee the handling of customer complaints, inquiries, and legal correspondence.
  • Represent the Authority in judicial and administrative proceedings as necessary.

Required Academic and Professional Qualifications

  • Bachelor of Laws (LL.B.) degree from a recognized institution.
  • Master’s degree in Law or a relevant Social Science discipline.
  • Postgraduate Diploma in Law from the Kenya School of Law.
  • Admission to the Roll of Advocates of the High Court of Kenya.
  • Membership of the Law Society of Kenya (LSK).
  • Certified Secretary (CS) membership with the Institute of Certified Secretaries (ICPSK).
  • Valid Practicing Certificates.
  • Management course certification (minimum four weeks).

Years and Nature of Experience

  • Minimum of 10 years of relevant work experience, with at least three years in senior-level management in a comparable public or private sector institution.
  • Experience within a public institution is an added advantage.

  • Proficiency in financial planning and legal risk management.
  • Expertise in governance, compliance, and legal advisory services.
