Job Summary
The Manager, Legal Services provides strategic legal advisory services across the Corporation, ensuring compliance with statutory obligations and corporate governance standards. The role encompasses the management of litigation, negotiation and structuring of key agreements, and the safeguarding of corporate assets such as title deeds and logbooks.
The position is integral in protecting the Corporation’s legal interests and in guiding management and departments on matters of compliance, risk mitigation, and legal obligations. By driving efficient contract management and ensuring legal due diligence in company transactions, the job holder upholds the integrity and operational stability of the Corporation.
Key Job Responsibilities
As the Manager, Legal Services, the selected candidate will take on a comprehensive set of duties. These include but are not limited to the following:
1. Contract Structuring and Negotiation
- Draft, review, and negotiate high-level contracts, with a special emphasis on Power Purchase Agreements (PPAs) and associated documentation.
- Collaborate with key stakeholders including Government agencies, the Energy and Petroleum Regulatory Authority (EPRA), developers, and financiers to secure necessary approvals and ensure smooth execution of agreements.
- Ensure that all contracts safeguard the Corporation’s legal and commercial interests.
2. Legal Advisory and Compliance
- Provide expert legal advice to the Corporation’s leadership and business units on a wide range of corporate and regulatory issues.
- Conduct legal risk assessments and recommend practical solutions for managing potential exposures.
- Advise on changes in legislation that may impact the Corporation’s operations and support management in implementing compliant strategies.
- Offer relevant training and capacity building to departments on legal and compliance issues.
3. Policy Review and Governance
- Review internal policies and procedures to ensure compliance with existing laws and regulatory frameworks.
- Maintain and oversee the use of the Company Seal, ensuring proper authorization and record-keeping in accordance with corporate governance standards.
- Safeguard all official legal records of the Corporation, including contracts, leases, title deeds, and logbooks.
4. Litigation and Dispute Management
- Oversee litigation matters, working closely with external counsel to manage court cases effectively.
- Develop mechanisms to investigate, prosecute, and mitigate legal disputes, particularly those relating to company assets or security breaches.
- Represent the Corporation’s interests in settlement negotiations and ensure favorable outcomes in all litigation proceedings.
5. Collaboration and Cross-Departmental Support
- Work collaboratively with other departments to anticipate and address potential legal risks.

6. Reporting and Monitoring

Person Specifications
This is a senior leadership role that requires both professional expertise and proven management experience. To be considered for appointment, applicants must demonstrate the following:
- Extensive Experience: At least twelve (12) years of professional experience in a relevant legal field, with at least four (4) years served at middle management level in a large organization or equivalent.
- Educational Background:
- A Master’s Degree in Law from a recognized institution.
- A Bachelor’s Degree in Law from a recognized institution.
- Professional Qualifications:
- A Certified Public Secretary (K) in good standing.
- A Post Graduate Diploma in Law from the Kenya School of Law.
- Admission as an Advocate of the High Court of Kenya with a valid practicing certificate.
- Professional Memberships:
- Active membership in the Law Society of Kenya (LSK) in good standing.
- Leadership Training: Completion of a leadership course lasting not less than four (4) weeks from a recognized institution.
- Integrity Requirements: Full compliance with Chapter 6 of the Constitution of Kenya, including integrity, accountability, and good governance.
