Legal Counsel (1 Position)

Job Grade 6
Reference: VA/1/10/2025
Location: Nairobi, Kenya

Job Purpose

The Legal Counsel will be responsible for providing legal advisory services to the organization, ensuring compliance with statutory and regulatory frameworks, drafting and reviewing contracts, and supporting the management in decision-making processes that require legal input. This role is crucial in protecting the interests of the company while ensuring that its business activities align with the law.

Key Duties and Responsibilities

  1. Provision of Legal Advice
    • Offering legal guidance to the Board of Directors, management, and other staff members on various matters that impact the organization.
    • Ensuring the company’s decisions and business strategies are compliant with the applicable laws, policies, and regulations.
    • Interpreting laws, regulations, and guidelines that have a direct effect on the operations of JKUAT Enterprises Limited.
  2. Contract Drafting and Review
    • Preparing, reviewing, and negotiating contracts, agreements, and memoranda of understanding to ensure that they protect the company’s interests.
    • Developing templates and standard documents for use in routine transactions while ensuring they are up-to-date with legal requirements.
    • Advising management on the risks and obligations involved in contractual relationships.
  3. Compliance and Risk Management
    • Monitoring changes in laws and regulations that are relevant to the company’s activities and advising on the necessary actions.
    • Conducting periodic legal compliance audits to assess the level of compliance within the organization.
    • Supporting the development and implementation of compliance policies and frameworks.
  4. Litigation Management
    • Coordinating and overseeing litigation matters involving the company.
    • Liaising with external advocates and representing the organization in court or other dispute resolution forums when required.
    • Preparing legal opinions and reports regarding ongoing or concluded cases.
  5. Governance and Board Support
    • Assisting the company secretary in providing legal support to the Board of Directors.
    • Drafting board resolutions and ensuring that they are consistent with the law and company policies.
    • Ensuring proper record-keeping of legal documents, agreements, and governance records.
  6. Policy Development and Advisory
    • Drafting and reviewing organizational policies and procedures to ensure compliance with the law.
    • Advising on matters related to intellectual property, employment law, procurement regulations, and corporate governance.
    • Supporting internal teams in policy interpretation and implementation.
  7. Training and Capacity Building
    • Conducting sensitization and training sessions for staff on legal matters, compliance issues, and governance requirements.
    • Ensuring employees are informed about their legal obligations and responsibilities within the organization.
  8. Other Responsibilities
    • Handling correspondence related to legal matters of the company.
    • Maintaining an updated database of all legal documents and cases involving the organization.
    • Performing any other related duties as may be assigned by management.
