Head Counsel, Governance & Shared Services

Key Responsibilities:

• Managing the Governance & Shared Services team and ensuring excellent service provision and performance management and team motivation and development.
• Company Secretary for KCB Bank Kenya and Kenya subsidiaries except KCB Group and NBK.
• In liaison with the Group General Counsel prepare and execute the business cycle board meetings calendar and activities, communicate and track matters arising, communicate decisions and support their implementation for the subsidiaries where they are company secretaries.
• In liaison with the Group General Counsel coordination of board meetings including ensuring board papers are presented in a timely manner.
• Accurate and timely recording of minutes at directors and shareholder meetings for subsidiaries where they are company secretaries.
• Maintenance of statutory registers of directors and shareholders for subsidiaries in Kenya.
• Ensuring timely filing of annual returns and corporate changes required at the BRS and across the Group entities within Kenya.
• Overseeing and ensuring Group wide legislative and policy and procedures compliance for the board.
• Overseeing and ensuring Group wide compliance with continuing obligations under the listing rules and related regulatory requirements.
• Overseeing and ensuring Group wide continuous review of board governance documents (charters, policies, TORs) to ensure these are up to date and remain relevant.
• Any other duties may be required.

The Person

For the above position, the successful applicant should have the following:

• Bachelor’s degree in Law (LLB).
• Diploma in Law.
• Master’s degree in Law will be an added advantage.
• At least 10 years’ post admission work experience.
• 8 years’ experience in Legal Drafting.
• 7 years’ experience in Corporate Governance.
• 7 years’ experience in Legal Communication and Advocacy.
